Legal Agreements Reviewer / Contract Specialist

About the role

We are seeking an experienced Contract Specialist to review, redline, and negotiate commercial agreements for a U.S.-based LLC. The position is fully remote and focuses on identifying risky clauses and proposing commercially sound revisions.

Key responsibilities

• Review and redline a variety of agreements including MSAs, NDAs, SaaS, vendor, partnership, service and marketing contracts.
• Identify unfavorable, ambiguous, or risky language and suggest commercially reasonable revisions.
• Negotiate terms directly with vendors, partners, clients, and their legal counsel.
• Assess key provisions such as liability, indemnification, payment terms, termination rights, confidentiality, IP, data privacy, dispute resolution, governing law, insurance, compliance, exclusivity, and auto‑renewal.
• Flag legal, financial, regulatory, and operational exposure before execution and maintain organized records of versions, redlines, approvals, and executed agreements.
• Research U.S. legal requirements when needed and escalate matters to licensed U.S. counsel.

Required profile

• Bachelor’s degree in Law, Legal Studies, Business or a related field.
• 3+ years of hands‑on contract review, redlining, and negotiation experience.
• Excellent written and spoken English with strong judgment on contractual risk.
• Sharp attention to detail and strong research, analytical and communication skills.
• Experience working remotely with U.S.-based companies and familiarity with U.S. LLC structures and commercial business practices.
• Preferred background includes work with U.S. law firms, U.S. commercial contracts, and experience negotiating SaaS, marketing, lead‑generation, and data‑processing agreements.
