Consultant – Corporate Governance (12‑month Fixed‑Term)

About the role

We are seeking a Consultant to design, develop and implement corporate governance frameworks for a multi‑entity group operating across the UAE and GCC. The role involves assessing governance maturity, supporting subsidiary governance models and preparing board and shareholder documentation.

Key responsibilities

• Design and implement governance charters, policies and delegation of authority frameworks for wholly owned, joint‑venture and non‑controlled entities.
• Conduct governance maturity assessments and benchmark against UAE SCA/CMA, UK Corporate Governance Code and GCC best practices.
• Support subsidiaries with board nomination processes, reporting lines and governance operating models.
• Draft board resolutions, shareholder resolutions, circular resolutions, board minutes and committee terms of reference.
• Maintain statutory registers, filings and corporate records across UAE mainland, free zones and offshore jurisdictions.
• Assist with entity incorporation, share transfers, capital restructuring, board/AGM resolutions and license renewals.
• Review constitutional documents, shareholder agreements and joint‑venture governance arrangements.

Required profile

• Bachelor’s degree in Law, Corporate Governance, Business or related field.
• 4–6 years experience in corporate governance, company secretarial or in‑house legal roles, preferably in Big 4, large corporate groups or government entities.
• Proven drafting ability for board/shareholder resolutions, minutes, governance charters and delegation of authority frameworks.
• Working knowledge of UAE company law, free‑zone regulations and GCC governance codes.
