Governance Officer - Subsidiaries

About the role

Jordan Kuwait Bank is seeking a qualified and detail‑oriented professional to join its team as a Governance Officer – Subsidiaries. The role supports effective governance and oversight of the Bank’s subsidiaries, ensuring alignment with the Group’s governance framework, regulatory requirements and internal policies.

Key responsibilities

• Support the implementation and continuous enhancement of the governance framework applicable to the Bank’s subsidiaries.
• Monitor subsidiaries’ adherence to approved governance policies, delegated authorities and regulatory requirements.
• Coordinate governance‑related matters between the Bank and its subsidiaries, ensuring timely communication, documentation and escalation.
• Maintain accurate governance records, including board and committee composition, mandates, policies and key corporate documents.
• Prepare periodic governance reports, dashboards and management updates covering subsidiaries’ governance status and identified gaps.
• Collaborate with Legal, Compliance, Risk, Finance, Internal Audit and other functions on subsidiary governance issues.

Required profile

• Bachelor’s degree in business administration, finance, banking, law, accounting or a related field.
• Relevant experience in corporate or subsidiary governance, compliance, legal or risk management, preferably within the banking sector.
• Strong understanding of corporate governance principles, board and committee structures, policies and delegated authorities.
• Excellent analytical, reporting and documentation capabilities with high attention to detail.
